End User License Agreement (EULA)

EFFECTIVE: MAY 2026

This End User License Agreement ("EULA") governs the use of the OrderFlowAi software ("Software") provided by:

By installing, activating, or using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software.

1. License Grant

Upon acquiring a license, you are granted a non-exclusive, non-transferable right to use the Software on the licensed number of devices:

  • Trial: 14 days free, 1 PC, all features
  • Starter: €49/month, 1 PC, basic features (Dashboard, Volume Profile, Session Levels)
  • Pro: €99/month, 1 PC, all features (GPU Heatmap, Reversal AI, CORTEX, Iceberg/Spoof Detection)
  • Additional PCs: €49/month per additional device
  • Institutional: Custom terms by separate agreement

2. License Activation

  • The license is bound to a machine ID (SHA-256 hash derived from hardware characteristics).
  • Activation requires a one-time internet connection. After that, a 72-hour offline grace period applies.
  • You can deactivate a device through the activation window within the application.

3. Usage Restrictions

You may not:

  • Decompile, disassemble, or reverse-engineer the Software
  • Sublicense, rent, lease, or transfer the Software
  • Copy or distribute the Software (except for personal backup purposes)
  • Use the Software for fully unattended automated trading — the Software is an analysis tool, not a fully autonomous trading system

4. Intellectual Property

All rights in the Software — including source code, algorithms (CORTEX Neural Engine, Reversal AI Scanner), design, and documentation — remain with OrderFlowAi. This license does not grant you ownership of the Software.

5. Disclaimer of Warranties & Limitation of Liability

IMPORTANT — Please read carefully:

  • OrderFlowAi is an analysis tool for futures trading. There is no guarantee of profits.
  • Futures trading carries substantial risk of loss, including the loss of your entire invested capital.
  • AI signals (Reversal AI, CORTEX) are statistical probabilities, not trading recommendations.
  • You are solely responsible for all trading decisions.
  • OrderFlowAi is not liable for losses incurred through use of the Software.
  • The Software is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.
  • To the maximum extent permitted by applicable law, OrderFlowAi's total liability under this EULA is limited to the fees paid by you for the Software in the 12 months preceding the event giving rise to the claim.

6. Availability and Updates

  • The Software is provided "as is". We make reasonable efforts to provide regular updates but do not guarantee any specific availability or functionality.
  • Updates are delivered automatically through the application. You can decline updates but may lose access to new features as a result.
  • The license server must be reachable for validation (outside the 72-hour grace period).

7. Termination

  • By you: At any time, effective at the end of the billing period, via "Manage Subscription" on the website or by email to [email protected].
  • By us: Upon material breach of this EULA, in particular reverse engineering or unauthorized redistribution. In such case, the license is deactivated immediately.
  • Upon termination, the right to use the Software ends. Local data (trading journal, settings) remains on your PC.

8. Governing Law and Jurisdiction

Spanish law applies. The place of jurisdiction is Palma de Mallorca, Spain. For consumers in the EU, the mandatory consumer protection provisions of the country of residence additionally apply.

For users outside the EU, this EULA is governed by Spanish law without regard to its conflict of law principles. If a court finds that a provision conflicts with mandatory local consumer law, that provision shall be modified to the minimum extent necessary to be enforceable, and the rest of the EULA remains in effect.

9. Severability

If any provision of this EULA is held invalid or unenforceable, the remaining provisions remain in full force and effect.

10. Changes to This EULA

We may update this EULA from time to time. Material changes will be announced at least 30 days in advance via email to your registered address. Continued use of the Software after the effective date constitutes acceptance.
